You are welcome to use the Wisdomuse App and related services (hereinafter referred to as the "Service"). This User Agreement is an agreement between Shenzhen Dajiang Zhijian Intelligent Technology Co., Ltd. (hereinafter referred to as "we", "us" or "our") and you regarding the registration, login, and use of this software and related services. You should read and abide by the User Service Agreement (hereinafter referred to as the "Agreement"). It is recommended that you carefully read the entire content of this Agreement, especially the clauses that are (may) have a significant relationship with your rights and interests (including the relevant clauses that exempt or limit liability, the application of law, and dispute resolution). The headings of each clause are for the purpose of helping you understand the subject matter of the clause and do not affect or limit the meaning or interpretation of the terms of this Agreement. By clicking to agree or your use of the Service ("use" refers to one or more of the behaviors including but not limited to downloading, installing, starting, browsing, registering, logging in, etc., the same below), it means that you have read and agreed to sign all the contents of this Agreement, and this Agreement will have legal effect between you and us and become a binding legal document for both parties. If you do not agree with our amendments or supplements to this Agreement from time to time, you should give up registration, stop using or voluntarily cancel the Service.
1.1 User: refers to all users who use the Service. This Agreement may be referred to as "User" or "You".
1.2Wisdomuse App: It is an intelligent app designed to improve the efficiency of meetings. It can not only easily record various forms of meeting content, but also generate diverse meeting minutes, including refined meeting summaries, intuitive mind maps, and clear timeline recordings, making your meeting review more efficient and convenient.
1.3 In order to comply with relevant laws and regulations, some functions of this service are only provided to users who have registered and logged in with their real names. You need to register with your mobile phone number and SMS verification code on the registration page, and after successful registration, you will also log in with your mobile phone number and SMS verification code. Users are legally responsible for all activities and events conducted under their User Account. You should comply with relevant rules and regulations when you use your account to upload and share the content you post.
1.4 You understand and promise that the account you set up shall not violate the relevant provisions of national laws and regulations, and there shall be no illegal or bad information in your account name, profile and other personal information, and you shall not open an account in the name of others without the permission of others (including but not limited to fraudulently using other people's names, names, font sizes, avatars, etc. in a way that is sufficient to confuse people), and you shall not register accounts maliciously (including but not limited to frequent registration, batch account registration, etc.). You must comply with relevant laws and regulations during the process of account registration and use, and must not engage in any behavior that infringes on national interests, harms the legitimate rights and interests of other citizens, or harms social morality. The software company has the right to review the information you submit.
1.5 To comply with the requirements of relevant laws and regulations and ensure the security of your account, we may regularly or irregularly use different methods to verify your identity, including but not limited to requiring you to enter verification codes, mobile phone number verification, email authentication, etc. If you are unable to complete the verification or refuse to verify, we may reasonably suspect that your account is a security risk and suspend the provision of some or all of the services of the Service to you, and we have the right to take further measures.
1.6 As required by relevant laws and regulations, your account is limited to your own use and cannot be transferred, gifted, inherited or authorized to be used by a third party. If we determine that the use of your account may violate laws and regulations, endanger the security of your account and/or our information, we may refuse to provide the corresponding services or terminate this Agreement. We have the right to ban, cancel, or recall the account according to the situation, and the resulting losses, including but not limited to content, virtual property clearance, etc., shall be borne by you and the account user. The criteria for identifying users of this service are: mobile phone number, payment account number, bank card number, etc. are all regarded as one user.
1.7 You should keep your account information safe. You shall be responsible for any losses and consequences caused by your improper storage of account information, active leakage, or attacks or fraud by others. If you find any unauthorized use of your account to log in to use the Service or other situations that may lead to the theft or loss of your account, you are advised to notify us immediately. You understand that it takes a reasonable amount of time for us to act on your request and we are not responsible for consequences that have occurred before taking action, except at fault on our part.
1.8 You can cancel your account and terminate your relationship with our service at any time, but please understand that even if your account is canceled, you will still be responsible for all obligations related to your account. Before you cancel your account, you should ensure that there are no unfinished transactions or other unresolved rights and obligations in your account, and that there are no other circumstances that may cause disputes or make disputes difficult to resolve due to cancellation, including but not limited to the suspension or restriction of your account, or your cancellation for the purpose of evading investigation and evidence collection.
1.9 If you have a balance in your account, please withdraw or transfer all the balance in your account. In particular, we remind you that once you cancel your account with this service, if there are still virtual income under the account (including but not limited to points, virtual currency, value-added services that have been purchased but have not expired or have not been used, etc.), we have the right to clear all virtual income under the account, and you shall bear the consequences arising therefrom.
You understand and agree that in order to make full use of account resources, we have the right to withdraw your account if you do not log in and use your account in time after registration or do not log in and use your account for more than six consecutive months, and there are no unexpired or unfulfilled continuous services. If your account is revoked, you will not be able to log in and use the Service through your previous account, and the personalized settings and usage records stored under your account will not be restored. If you violate laws and regulations or do not comply with this Agreement when registering or using your account, we have the right not to register; If you have already registered, we have the right to require users to make corrections within a time limit, or unilaterally take measures such as short-term ban, permanent ban, or account cancellation depending on the situation.
2.1 The Service provides meeting recording and meeting minutes generation, and the recorded content and meeting minutes are stored on our server.
2.2 When you use the Service, we grant you a personal, revocable, non-transferable and non-exclusive license. You may use the Software and Services only for the purpose of accessing or using the Service. This service is currently in the experience stage, and the specific functions will be iteratively updated with user feedback and technical upgrades.
2.3 When you use a specific function of the Service, there may be separate agreements and relevant business rules ("Specific Agreements") for that specific function, and you should read and agree to the relevant specific agreements before using the specific function. If there is any conflict between this Agreement and the specific agreement, the provisions of the specific agreement shall prevail.
2.4.1 In order to improve the user experience and improve the service content, we will continuously strive to develop new services and provide you with software updates from time to time (these updates may take the form of software replacement, modification, function enhancement, version upgrade, etc.).
2.4.2 In order to ensure the security and consistency of the functions of the Software and Services, we have the right to update the Software without special notice to you, or to change or limit some of the functions and effects of the Software.
2.4.3 After a new version of the Software is released, the old version of the Software may not be available. We do not guarantee that older versions of the software will continue to be available and corresponding customer service, please check and download the latest version at any time.
3.1 In order to enable you to better use this service, you need to provide your real identity information to register and log in in in accordance with relevant regulations.
3.2 When using the above services provided by us, you shall abide by this Agreement, abide by the principles of voluntariness, equality, fairness and good faith, and shall not use this service to infringe on the legitimate rights and interests of others and seek improper benefits, and shall not disturb the normal order of the Internet platform.
3.3 In order to fulfill statutory compliance requirements, we have the right to use technical or manual means to review users' behavior and information on the use of the Service, including but not limited to reviewing input and output, and establishing a database of illegal content characteristics. We have the right to deal with violating users in accordance with the provisions of Article 8 of this Agreement.
3.4 As a user of the Service, you shall actively assume information security obligations when using the above services. The information you input, output/generate, produce, comment, upload, publish, and disseminate should consciously abide by laws, administrative regulations, public order, respect social morality and ethics, socialist core values, national interests, respect for the legitimate rights and interests of others, morality and authenticity of information, etc., otherwise we have the right to take corresponding measures immediately.
3.5 If the Service discovers or receives reports or complaints from others that the User has violated any provisions of this Agreement, the Service has the right to process the relevant content at any time without notice, and has the right to suspend or terminate the provision of relevant services depending on the circumstances of the behavior, including but not limited to: inability to open, share documents and account bans.
4.1 We are the main developer and operator of the Service, and have all rights to all data, information, output, etc. generated in the process of the development and operation of the Service within the scope permitted by laws and regulations, except for those rights that the relevant rights holders should enjoy in accordance with the law.
4.2 The intellectual property rights (including but not limited to copyrights, trademark rights, patent rights, and other intellectual property rights) of the content provided by us in the Service (including but not limited to software, technology, programs, code, user interfaces, web pages, text, pictures, images, audio, video, graphics, layout design, trademarks, electronic documents, etc.) belong to us, except for those rights that the relevant right holders should enjoy in accordance with the law.
4.3 You understand and promise that your input when using the Service will not infringe on anyone's legitimate rights and interests, such as intellectual property rights, reputation rights, name rights, and privacy rights, otherwise you shall bear the risk and responsibility for infringement arising therefrom. All direct and indirect losses suffered by us (including but not limited to economic, goodwill, rights protection expenses, attorney fees, etc.) are also borne by you.
4.4 You acknowledge, understand and agree that if you have rights to your input and/or output in accordance with the law, all content uploaded and published by you in the process of using this software and services will not be transferred due to the uploading and publishing of all content in the process of using this software and services, unless otherwise agreed with you. At the same time, you understand and agree that we will store and use the non-confidential content you upload and publish to the extent permitted by law for the purpose of this service.
4.5 Due to the technical nature, the output between users may not be unique, and the Service may generate the same or similar output for different users. Content that is input by and output by other users should not be considered your content.
4.6 You acknowledge, understand and agree that you grant us and/or affiliates a free, worldwide and perpetual license to use the information content you provide to optimize models and services, and for our publicity, promotion and related research activities for all or part of the information content you input, generate, publish and disseminate through the Service (collectively referred to as the information content). The above licenses are transferable and can be sublicensed or sublicensed.
You understand and promise that the input shall be content that you enjoy intellectual property rights or have obtained the legal authorization of the right holder, and there is no content that violates applicable laws and regulations, infringes on the legitimate rights and interests of others (including but not limited to copyrights, patent rights, trademark rights and other intellectual property rights and personality rights, personal information rights and other rights and interests), and violates public order and good morals.
5.1 We attach great importance to the protection of users' personal information. We will collect, use, store and share your personal information in accordance with the Privacy Policy.
6.1 Term. The validity period of this Agreement is the same as the service period of the User's enjoyment of the Service.
6.2. Termination. When the Service decides to terminate the operation of one or several separate paid services in the Service, the Service will fulfill the obligation of notification and refund and provide relevant customer service support in accordance with the requirements of relevant laws and regulations for the part of the service that you have ordered but have not yet used (if any).
6.3. Except for the above circumstances, we do not need to refund any service fees to you, and in the event of any conflict between this paragraph and other provisions of this Agreement, the provisions of this paragraph shall prevail.
7.1 Any consequences caused by the user's violation of relevant laws and regulations or this agreement shall be independently responsible for the loss and have nothing to do with us. If we or other units with which we cooperate face any complaints, reports, questions, claims, or lawsuits due to the user's use of this service, or cause us or other units to cooperate with us to suffer any loss of reputation, reputation or property, you should actively take all possible measures to ensure that we and other units with which we cooperate are not affected by the above claims and lawsuits. At the same time, you are fully liable for the direct and indirect economic losses suffered by us and other units cooperating with us.
7.2 If the user interferes with the operation of the Service or interferes with the use of the Service by any means, we have the right to claim compensation for losses (including but not limited to economic, goodwill, rights protection expenses, attorney fees, etc.).
7.3 If the user violates the "Article 3 Service Usage Regulations", we have the right to take measures that we deem reasonable, such as warning, restricting functions, suspending or terminating the service, deleting illegal information, and locking the account, and keep relevant records. If there is any doubt about the processing result, the user can appeal to us in accordance with the provisions of Article 8, and we will accept it in a timely manner and provide feedback.
7.4 If we take measures such as restricting functions, suspending or terminating the provision of services in accordance with Article 7.3, depending on the handling measures, the user may not be able to use the services, including membership services, in the short or long term, and we have the right not to refund the fees corresponding to the user's remaining membership rights and other value-added services.
8.1 If you believe that the Service involves infringement of your intellectual property rights or other rights, you can send relevant materials to the Company's email address by written communication. We will process your report after receiving it.
8.2 If you believe that we have unduly restricted your ability to use the Service, you can send the relevant materials to the Company's email address.
The materials required for the above actions include at least your account information, identity information, current status of your account, reasons, and what measures you want us to take and the obligations that the software is required to fulfill. We will notify you of the results by email.
9.1 The Service is currently in the trial stage, and we provide the Service in the status of "current status" and "current function". We do not assume any other liability except as expressly provided by law, such as not guaranteeing that the operation of the Service will be uninterrupted or error-free, that it has the ability to correct all defects in the Service under the current state of technology, or that the Service can meet all requirements of users. We will do our best to provide appropriate security measures based on existing technology to ensure the security and normal operation of the Service, including but not limited to limiting the number of server requests that users can send at a time. After the number of user requests reaches the risk warning limit within a certain period of time, your account may be suspended for service operation and security reasons.
9.2 In view of the special nature of network services and artificial intelligence services, you acknowledge and agree that this service will change, interrupt or terminate part or all of the network services at any time. If the network service is changed, interrupted or terminated as a free network service, this service does not need to notify the user and does not assume any responsibility to any user or any third party.
